The PONV will be determined by the Reserve Bank of India (RBI), and is a point at which, the bank may no longer remain a going concern on its own unless appropriate measures are taken to revive its operations, an d thus, enable it to continue as a going concern. Difficulties faced by a bank should be such that these are likely to result in financial l osses and raising Common Equity Tier-I (CET I) capital of the bank should be considered the most appropriate way to prevent the bank from turning non-viable. Rationale and key rating drivers Reaffirmation of ratings to long-term instruments and certificate of deposits of Bank of Barod a (BOB) continues to factor in majority ownership by Government of India (GOI) and expectation of continued support, giv en the systemic importance of BOB being one of the largest public sector banks (PSB) in India. Ratings also favourably factor in the bank’s established franchise with a pan-India branch network, which helps it garner deposits at competitive rates and its sizeable international presence (~19% of total advances as on March 31, 2026), which provides diversification to the advances profile. Ratings continue to derive strength from the bank’s comfortable capitalisation levels and improvement in headline asset quality ratios, leading to lower credit costs, which has supported improved profitability. However, the bank’s ability to contain incremental slippages and maintain its asset quality remains a monitorable. CARE Ratings Limited (CareEdge Ratings) expects moderation in BOB’s profitability in FY27 affected largely by one-time provision of ₹5,680 crore related to out-of-court settlement with the joint administrators of NMC Health PLC, NMC Healthcare Limited and NMC Holding Limited. CareEdge Ratings has withdrawn ratings of ‘CARE AAA; Stable’ assigned to the Tier-II Bond (ISIN: INE077A08098) with immediate effect due to redemption of the bonds on due date. This action has been taken due to full redemption of the Bonds and ‘No Due Certificate/Confirmation’ received from debenture trustees. Analytical approach: Standalone 1SEBI: Securities and Exchange Board of India; RBI: Reserve Bank of India; MCA: Ministry of Corporate Affairs; IRDAI: Insurance Regu latory and Development Authority of India; PFRDA: Pension Fund Regulatory and Development Authority. 2Complete definitions of ratings assigned are available at www.careratings.com and in other CARE Ratings Limited’s publication s. 2 CARE Ratings Ltd. Press Release Ratings are based on the bank’s standalone profile and factor in the strong and continued support from the GoI, which holds majority shareholding in the bank. Outlook: Stable The ‘stable’ outlook reflects CareEdge Ratings’ expectation that BOB will continue to maintain its steady growth in advances and deposits in the medium term, while maintaining stable asset quality and comfortable capitalisation levels. Detailed description of key rating drivers Key strengths Majority ownership and expected continued support from the GoI The GoI continues to be majority shareholder, holding 63.97% stake in BOB as on J une 30, 2026. The GoI has been supporting PSBs with regular capital infusions and steps to improve capitalisation, operational efficiency, and asset quality. Given the majority ownership of GoI and BOB’s systemic importance being one of the largest PSBs in the domesti c banking system, the bank is expected to receive timely adequate capital and operational support from the GoI , when required, and will remain a key rating sensitivity. Long track record of operations with an established franchise and sizeable international presence BOB has a long and established operational track record of over 11 decades and is one of the largest nationalised banks in terms of assets, business, and outreach. Post amalgamation of Vijaya Bank a nd Dena Bank with BOB on April 01, 2019, pan-India geographical presence of BOB rose substantially, furthering its existing strong franc hise. The bank’s net advances stood at ₹1,395,727 crore as on June 30, 2026, making it the second largest PSB in the country. The bank had a network of 8,728 branches (80 international and 8,648 domestic branches), 9,538 ATMs and over 75,000 employees as on March 31, 2026. The bank has a stable depositor base, which raises its deposits at co mpetitive rates. Indian banks have been facing a challenge in raising deposits, especially low-cost current account savings account ( CASA) due to shift of depositors to other investment avenues. In FY26, the bank’s total deposits grew by ~12% from ₹1,472,035 crore as on March 31, 2025, to ₹1,648,487 crore as on March 31, 2026, which was marginally higher than the industry growth of ~11.5 %. The bank’s low-cost CASA deposits grew at a slower rate of ~10% from ₹556,666 crore as on March 31, 2025, to ₹613,207 crore as on March 31, 2026. As a result, the proportion of global CASA deposits to total deposits fell to 37.20% as on March 31, 2026, compared to 37.82% for the corresponding date of previous year. Comfortable capitalisation levels supported by internal accruals BOB has maintained comfortable capitalisation levels with higher cushion over the minimum regula tory requirement in the last few years. The bank had raised equity of ₹4,500 crore through qualified institutional placement (QIP) in FY21, post w hich, the accretion to capital has been through internal accruals. The bank reported capital adequacy ratio (CAR) of 15.82% (PY: 1 7.19%), Tier-I CAR of 13.64% (PY: 14.79%), and Common Equity Tier-I (CET I) of 13.16% (PY: 13.78%) as on March 31, 2026, driven b y growth in risk weighted assets and bond redemptions, against the minimum regulatory requirement of 11.5% for CAR, 9.5% for Tier-I, and 8% for CET I ratio (including capital conservation buffer), respectively. Comfortable capital cushion enhances the banks’ ability to absorb asset quality pressures and support advance growth in the near term. The bank reported CAR of 16.30 % (Tier-I CAR: 14.41%) and CET I Ratio of 13.90% as on June 30, 2026. CareEdge Ratings expects BOB to keep sufficient cushion over minimum regulatory requirements in the medium term, in line with similar PSB peers. Diversified advances book with focus on retail BOB’s gross advances grew by ~16% (domestic: ~15% and international: ~24%) in FY26. The bank has been focusing on retail, agriculture and micro, small and medium enterprise (MSME; RAM) segments, which toge ther constituted 47.25% of the global gross advances as on March 31, 2026, against 46.78% as on March 31, 2025, whereas the wholesale segment (corporate and others: 34.54% and international: 18.21%). Net advances growth for FY26 stood at 16.50%, which is above the banking industry average of 14.5%. Improvement in earnings in FY26 but profitability to moderate in FY27 The interest income increased by ~4% in FY26 compared to previous year due to lower yield on advances primarily driven by rate cuts. The non-interest income decreased marginally by ~0.2% y-o -y due to decrease in recovery from written-off accounts 3 CARE Ratings Ltd. Press Release partially which was partially offset by increase in treasury income and dividend income in FY26. The bank’s total income stood at ₹142,750 crore in FY26 compared to ₹138,089 crore in FY25 registering a growth of ~3%. The bank’s interest expense increase by ~5% y-o- y from ₹75,783 crore in FY25 to ₹79,311 crore in FY26. The cost of deposit decreased resulting in net interest income (NII) to grow by ~2.5 % to ₹47,682 crore in FY26 against ₹46,518 crore in FY25. Net income margin (NIM) contracted to 2.53% for FY26 against 2.78% for FY25. Operating expenses to total assets decreased to 1.66% of average total assets in FY26 compared to 1.79% for the previous year. Cost-to-income ratio of the bank increased to 49.15% for FY26 (47.94% for FY25). Credit cost (provisions and write-offs/ average assets) increased marginally from 0.36% in FY25 to 0.38% in FY26 due to incremental provisioning. The bank’s pre-provision operating profit (PPOP) decreased by 0.54 % to ₹32,259 crore for FY26 from ₹32,435 crore for FY25. BOB’s net profit increased by ~2 % to ₹20,021 crore in FY26 against ₹19,581 crore in FY25 and return on total assets (ROTA) decreased to 1.06% in FY26 against 1.17% in FY25. BOB through its Abu Dhabi branch reached a confidential US$600 million (~₹5,700 crore) o ut-of-court settlement with the joint administrators of NMC Health PLC, NMC Healthcare Limited and NMC Holding Limited. The se ttlement resolves the proceedings before the Abu Dhabi Global Market courts and the English courts, without admission of liability or wrongdoing by the bank. The bank provided ₹5,680 crore toward the settlement in Q1FY27 and paid the agreed amount on July 01, 2026. Thus, BOB reported a net profit of ₹1,278 crore for Q1FY27 on total income of ₹12,525 crore against a net profit of ₹4,541 crore on a total income of ₹11,435 crore for Q1FY26 . Interest expense of the bank increased from ₹ 19,657 crore in Q1FY26 to ₹20,686 crore in Q1FY27 and interest income increased from ₹31,091 crore in Q1FY26 to ₹33,211 crore in Q1FY27. This led to a decline in NII. As a result, NIM for Q1FY27 stood at 2.49% against 2.59% in Q1FY26. Key weaknesses Moderate but improving asset quality The bank has reported improvement in its asset quality parameters with a reduction in the gross NPAs (GNPA), primarily driven by higher loan growth, lower proportion of slippages, write offs and healthy rec overies (incl. upgrades). The bank has done provisioning resulting in reduction in NNPA ratio over the years. The bank has written off NPAs of ₹ 6,594 crore and recoveries and upgradation of ₹4,481 crore in FY26 and slippages stood at ₹10,299 crore. The GNPA ratio improved to 1.89% as on March 31, 2026, from 2.26% as on March 31, 2025, and stood at 1.99% as on June 30, 2026. The bank’s NNPA ratio improved to 0.45% as on March 31, 2026, against 0.58% as on March 31, 2025, respectively, and stood at 0.50% as on June 30, 2026. The bank’s provision coverage ratio (PCR), excluding technically written -off (TWO) accounts, stood at 76.66% as on March 31, 2026, compared to 74.87% as on March 31, 2025, and 75.07% as on June 30, 2026. The bank’s NNPA to net worth ratio stood at 4.47% as on March 31, 2026. The bank’s stressed assets (GNPA + Gross Standard Restructured Advances + Gross Security Receipts) constituted 2.76% of gross advances as on March 31, 2026, against 2.27% as on March 31, 2025. Going forward, the bank expects the slippage ratio to be ~1.25%, which would help it to maintain stable asset quality parameters. BOB’s ability to contain slippages and maintain asset quality will be a key rating monitorable. Liquidity: Strong The bank’s liquidity profile is supported by the bank’s strong retail and CASA depo sitor base. As on June 30, 2026, the asset liability maturity (ALM) profile had positive cumulative mismatches in the time buckets up to six months. Liquidity coverage ratio and net stable funding ratio as on June 30, 2026, stood at ~127% and ~120%, respectively against the minimum regulatory requirement of 100%. Considering the bank’s stable franchise, it is expected to roll over its depos its. The bank had excess statutory liquidity ratio (SLR) of ₹45,888 (~3.3% in excess over regulatory requirement) as on June 30, 2026, which provid es adequate liquidity. The bank has access to borrowing from RBI’s liquidity adjustment facility (LAF) and marginal standing facility (MSF) and option to refinance from SIDBI, NHB, and NABARD, among others, and access to call money markets. Assumptions/Covenants: Not applicable Environment, social, and governance (ESG) risks Although BOB’s service-oriented business model limits its direct exposure to environmental risks, credit risk may arise if operations of asset class of the portfolio are adversely impacted by environmental factors. 4 CARE Ratings Ltd. Press Release Social risks in the form of cybersecurity threat or customer data breach or mis- selling practices can affect BOB’s regulatory compliance and reputation, and hence, remain a key monitorable. BOB reported that it received a communication from an anonymous source claiming access to certain data. The Bank activated its cyb er response protocols and engaged a CERT-In- empanelled agency to investigate the alleged compromise.
