Credit Highlights Overview Key strengths Key risks Very high likelihood of government support Higher level of stressed assets than the industry Stable deposit base and strong liquidity due to a well‑established franchise and government parentage Lower proportion of current account and savings account (CASA) deposits dampens margins Union Bank of India will maintain a steady capital cushion. We estimate the bank's risk-adjusted capital (RAC) ratio will stay above 7% over the next 12-24 months, with support from stable earnings. We believe its capital buffers will be sufficient to absorb a one-off impact from the transition towards the expected credit loss (ECL) framework. Union Bank's asset quality should stay stable, in our view. The bank has improved its asset quality by writing off and selling nonperforming loans, along with better risk management SACP: bbb- Anchor bbb- Business position Adequate 0 Capital and earnings Adequate 0 Risk position Moderate -1 Funding Strong Liquidity Strong 1 CRA adjustment 0 Support: +1 ALAC support 0 GRE support 1 Group support 0 Sovereign support 0 Additional factors: 0 Issuer credit rating BBB/Stable/A-2 Primary Contact Aurick Soh Singapore 65-6216-1134 aurick.soh @spglobal.com Secondary Contact Deepali V Seth Chhabria Mumbai 912261373187 deepali.seth @spglobal.com www.spglobal.com/ratingsdirect October 6, 2026 1 processes. It has low exposure to riskier segments such as unsecured loans, micro, small and midsized enterprises (MSMEs), and microfinance. That said, we forecast Union Bank's ratio of weak loans to increase to 3.5%-3.7% over the next two years, from 3.3% as of June 30, 2026. This is because we anticipate a moderate rise in credit stress for the Indian banking sector due to the effects of the Middle East conflict, as well as weaker monsoon rains in the country. Union Bank's credit costs will also tick up amid higher provisioning requirements under the ECL framework, and as recoveries on legacy weak loans taper off. Outlook The stable rating outlook on Union Bank reflects our view that the bank will maintain its improved capital position over the next 24 months, and the likelihood of government support for the bank will remain very high. Downside scenario We could lower the ratings if we downgrade India or if we revise downward our assessment of Union Bank's stand-alone credit profile (SACP). The SACP could weaken by a notch if Union Bank's funding profile deteriorates. This could be indicated by a lower deposit market share, a sustained drop in low-cost deposits, or a sustained increase in the bank's loan-to-deposit ratio. We could also revise our assessment of the SACP downward if Union Bank's risk management and asset quality weaken materially. Upside scenario We could upgrade Union Bank if we raise the sovereign ratings on India and revise our assessment of the bank's SACP upward. Union Bank's SACP could rise by a notch if its asset quality improves to a level similar to that of larger Indian banks. Anchor: 'bbb-' For Banks Operating Primarily In India The starting point for our ratings on Union Bank is 'bbb-', the same for any bank operating predominantly in India. We expect the Indian financial sector's asset quality to remain healthy. Our opinion reflects structural improvements in operating conditions and good economic prospects over the next few years. Nonetheless, we note some emerging strains due to global uncertainty, including from the ongoing Middle East conflict, which could lead to some pressure on weaker borrowers. Pockets of stress are likely to emerge in unsecured segments in India, particularly among self- employed borrowers and micro- and small-sized enterprises, with potential spillovers into vehicle loans and affordable housing. We believe uneven economic growth and persistently high food inflation will exert sustained pressure on low-income borrowers, given their limited income buffers and high share of essential consumption. Meanwhile, regulatory guardrails imposed by Microfinance Institutions Network, a self-regulatory organization for microfinance institutions in India, have led to a moderation in borrower leverage and contraction in microfinance portfolios, helping to address prior excesses. We believe underwriting standards in India for secured retail loans are healthy, and delinquencies in this segment will remain manageable. We expect credit losses could inch up to 0.8%-1.0% over the next 12-24 months, compared with the low levels of 0.7% in fiscal 2026 (ended March 31, 2026). The increase is also in part due to the implementation of expected credit loss framework for asset classification in India from next year. However, the credit losses compare favorably with the sector's long-term average of 1.5%. We project Indian banks' return on average assets (ROAA) to be 1.2%-1.3% for fiscal 2027, comparable with that of global peers. In our view, directed lending by the government and the presence of many government-owned banks distort competition in the banking sector. Weak governance and transparency undermine the institutional framework for India's banking sector. Over the past few years, the Reserve Bank of India, the country's central bank, has heavy penalized banks and finance companies for noncompliance with regulatory guidelines relating to data privacy, governance, customer verification, and anti-money laundering, as well for underinvestment in technology. While these actions should improve governance and transparency in the financial sector, we believe overall governance in the Indian corporate sector will take much longer to improve. The Indian banking system's funding profile remains a strength, despite some recent weakening in the credit-to-deposit ratio in recent years. Business Position: Public-Sector Bank Focusing On Retail, Agriculture, And MSME Sectors www.spglobal.com/ratingsdirect October 6, 2026 3 Union Bank of India Union Bank's government ownership and domestic franchise will support its business position. The mid-sized bank is domestically focused, with 96.8% of its loans being disbursed in India. It is the fifth largest public-sector bank in India, and held a market share of around 5% of system loans and deposits as of end-June 2026. We expect Union Bank's revenue base to stay stable. Net interest income and recurring fee income accounted for about 77% of total income on average for the past five years. Chart 1 Union Bank will likely maintain a calibrated approach to loan growth, as the bank pares back reliance on costly wholesale deposits to defend its margins, amid elevated deposits competition. The bank's loan book grew by 12.5% year on year as of June 30, 2026, lagging behind that of the industry. We expect Union Bank's loan growth to pick up in subsequent quarters, supported by healthy credit demand across both corporate and the retail segments. The mobilization of foreign currency nonresident bank deposits would support loan growth, when deployed. We believe Union Bank will strive toward growing the proportion of the higher-yielding and granular retail, agriculture, and micro and small to midsized enterprise (RAM) segment within its overall loan book. This has been at around 55% over the past five years. Within retail, secured lending such as home and mortgage loans are the mainstay, accounting for about 50% of the bank's retail loans. Like other public sector banks, Union Bank faces considerable competition in RAM lending. The development and enhancement of digital reach will remain key to making deeper inroads in client acquisition. The bank's hybrid physical-digital push to reach more customers in the rural and semi-urban areas should support growth and could keep its cost-to-income ratio rangebound at 51%-54%. Data as of June 30, 2026. Source: RBI, Bank financials. www.spglobal.com/ratingsdirect October 6, 2026 4 Union Bank of India Our assessment of Union Bank's capital and earnings reflects our expectation that the bank's pre-diversification RAC ratio will remain stable at 8.7%-9.2% over the next 12-24 months, compared with 9.3% at end-March 2026. In our view, Union Bank's earnings, reasonable dividend payout ratio and moderate loan growth will keep its RAC ratio at adequate levels. This is despite the fact that the bank must set aside higher provisions, to the tune of around Indian rupee (INR) 54 billion, upon the implementation of the ECL framework on April 1, 2027. As of June 30, 2026, Union Bank's consolidated Tier 1 and total capital ratios were well above the regulatory minimums, at 18.0% and 19.2% respectively We do not factor in any capital infusion over the next two years. That said, subject to favorable market conditions, Union Bank can increase its capital base to protect its balance sheet against downside risks. The bank's board has approved equity raising of up to INR30 billion in fiscal 2027 and INR50 billion in additional Tier 1 and Tier 2 instruments. We do not give equity credit to the additional Tier 1 instruments that India's public-sector banks issue, including Union Bank. This is due to uncertainties over the instruments' ability to absorb losses on a going-concern basis. Our RAC ratio forecast for Union Bank over fiscals 2027-2028 mainly considers: •Loan growth of 11%-13%, primarily led by the RAM segment, which yields higher margins. Good economic growth prospects and low interest rates will accommodate growth. The bank's risk- weighted assets to increase in line with loan growth. •Net interest margin (NIM) to improve by 5 basis points-10 basis points as Union Bank's bulk deposit shedding reduces its cost of funds. •We expect credit costs to rise from historically low levels to 0.30%-0.40%, This mainly reflects asset quality pressures linked to geopolitical spillovers, weaker monsoons, and incremental provisions as banks adopt the ECL framework approach. •Union Bank's profitability to moderate slightly due to higher credit costs. ROAA (ratio of core earnings to average adjusted assets) to stay at 1.1%-1.2%. •Dividend payout ratio of about 25%. Union Bank's NIM is at the lower end for rated peers. This is due to the bank's higher cost of deposits and higher proportion of corporate loans, which are typically lower-yielding. NIM will likely improve slightly over the next 12 months amid the bank's deposit mix optimization focusing on low-cost CASA deposits mobilization. Union Bank's focus on the higher-yielding RAM segment, low credit costs, and high recoveries have boosted the bank's profitability in recent years, although it still lags private sector peers. We anticipate a modest decline in the bank's profitability over the next two years from a decade-high ROAA of 1.3% in fiscal 2026, as credit costs normalize to higher levels and recoveries from written off loans moderate. www.spglobal.com/ratingsdirect October 6, 2026 5 Union Bank of India Chart 2 Risk Position: External Pressures Could Strain Asset Quality Union Bank's improving risk management, tighter client selection, and timely resolution of stressed assets should limit any significant weakening in asset quality. This is despite ongoing macroeconomic and geopolitical headwinds. We project the bank's weak loans ratio will remain at 3.5%-3.7% over the next two fiscal years, compared with about 3.3% as of end June 2026. Our calculation of weak loans ratio includes standard restructured loans. We expect Union Bank to further resolve its restructured loans. The bank's total restructured loans declined to 0.6% of total loans as of end-June 2026 from 2.0% as of March 31, 2023. Source: Bank financial reports, S&P Global Ratings calculations. www.spglobal.com/ratingsdirect October 6, 2026 6 Union Bank of India Chart 3 Union Bank's asset quality indicators will likely continue to converge with the industry. Structural improvements in India's operating conditions and stable economic conditions have strengthened the asset quality indicators of banks, including Union Bank. We expect Union Bank's credit cost to be at 0.3%-0.4% of total loans over fiscal years 2027 and 2028, compared with a historical low of 0.03% in fiscal 2026. This deterioration is driven by the effects of supply chain disruptions and inflationary pressures arising from the Middle East conflict and weaker monsoons. Similarly, we also expect a moderate increase in the bank's provisions under the ECL framework from fiscal 2028. This is in line with our expectations for the industry. Union Bank has set aside INR8 billion of standard asset provisions as a cushion against ECL requirements.
